These general terms and conditions (hereinafter “Terms and Conditions”) apply to all (requests for) offers, advice, interventions, or any other tasks performed by Eldib & Co., with registered office at Citadel Plaza Building 1, Mokattam, Cairo 11411, Egypt, and registered under 5 (hereinafter “Eldib & Co.”), as well as any other agreements or legal relationships between Eldib & Co. and a client (hereinafter “Client”).

Any references in these Terms and Conditions to Eldib & Co. shall also include its attorneys, legal consultants, and all administrative personnel acting on behalf and for the account of Eldib & Co.

Any request for legal services, acceptance of an offer, or payment of an invoice constitutes the express acceptance of these Terms and Conditions. The Client acknowledges and agrees that the application of their own general terms and conditions is explicitly excluded.

 

1. Performance of Services

Eldib & Co. undertakes to perform its tasks in good faith, with due diligence, and in accordance with the necessary confidentiality. All tasks entrusted to Eldib & Co. relate to an obligation of means, and therefore, no guarantee of a specific result is provided.

 

2. Client Obligations

The Client undertakes to provide Eldib & Co. with all relevant information, instructions, and documentation necessary for the proper execution of legal services. The Client must respond timely and diligently to requests for information and must immediately inform Eldib & Co. of any changes to provided information.

 

3. Fees and Payment

At the Client’s request, Eldib & Co. may provide an estimate of expected costs, fees, and taxes. Any estimates provided are indicative and subject to additional costs arising from changes in legal requirements, court fees, translations, third-party costs, and other factors that may impact the complexity of services.

Unless expressly agreed otherwise, services are billed based on Eldib & Co.’s standard hourly rates, which vary depending on the experience and expertise of the professionals involved. All prices are in USD and exclusive of VAT and any other applicable taxes or duties.

Invoices are payable within 30 calendar days from the invoice date. Any dispute regarding an invoice must be raised in writing within 14 calendar days from the invoice date. Late payments shall incur interest of 1% per month on the overdue amount, as well as a fixed indemnity of 10% of the invoice amount, with a minimum of USD 250, in addition to actual recovery costs.

 

4. Engagement of Third Parties

Eldib & Co. reserves the right to engage third parties, including experts, correspondents, and other service providers, where necessary for the completion of assigned tasks. The Client agrees to bear all costs associated with such engagements.

 

5. Liability

Eldib & Co.’s total cumulative liability on any basis shall be limited to, where applicable, the amount covered by its professional liability insurance. If no insurance coverage applies, and only in cases of willful misconduct, serious fault, or gross negligence, the total liability shall be limited to the fees received for the matter concerned, subject to a maximum of USD 2,000,000. Liability for indirect, consequential, commercial, or incidental damages is explicitly excluded.

Eldib & Co. shall not be liable for loss or damage resulting from force majeure, including but not limited to strikes, natural disasters, power failures, regulatory changes, or third-party actions beyond its control.

 

6. Confidentiality

Eldib & Co. is bound by professional confidentiality obligations. The Client also undertakes to keep confidential any privileged or proprietary information received from Eldib & Co.

 

7. Termination of Services

Each party may terminate the engagement with immediate effect by providing written notice. Termination does not discharge the Client from compensating Eldib & Co. for services rendered up until termination.

 

8. Governing Law & Dispute Resolution

These Terms and Conditions, as well as all legal relationships between the Client and Eldib & Co., shall be governed exclusively by the laws of Egypt. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Egypt.

 

9. Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force. Any invalid provision shall be replaced with a legally permissible provision that most closely reflects the original intent.

 

10. Amendments

Eldib & Co. reserves the right to update or modify these Terms and Conditions at any time. The latest version will be made available on the firm’s website, and continued use of services constitutes acceptance of the revised Terms and Conditions.
